Adobe acquires Semrush for $1.9 billion to enhance its AI-driven marketing solutions, valuing Semrush at $12 per share and boosting its stock by 75%.

Adobe Inc. has announced its intention to acquire the marketing software firm Semrush Holdings Inc. for an all-cash sum of $1.9 billion. The acquisition values Semrush at $12 per share and is expected to be finalized in the first half of 2026.

This strategic move marks Adobe’s first major acquisition attempt since its $20 billion bid for Figma Inc., which was halted in 2023 due to regulatory challenges in Europe and the UK. That deal would have been one of the largest takeovers in software history.

In light of the acquisition news, Semrush’s stock surged by 75% to $11.83 in premarket trading, while Adobe’s stock remained largely unchanged. Initial reports of the deal emerged from The Wall Street Journal.

Enhancing Marketing Solutions

Semrush specializes in AI-enhanced tools that assist businesses with search engine optimization, social media management, and digital advertising campaigns. The addition of Semrush will enable Adobe to provide a more comprehensive solution that allows marketers to have a holistic view of their brands across various channels, including traditional search and generative AI models (LLMs).

While Adobe is renowned for its creative tools like Photoshop, it also offers a suite of marketing and analytics products through its Adobe Experience Cloud. This segment has become increasingly important for the company’s revenue stream.

Despite this growth in Adobe’s marketing services, its stock has faced challenges this year, largely due to concerns that rapid advancements in artificial intelligence could disrupt its core creative business model. Adobe’s stock has declined by nearly 25% this year.

In an effort to pivot towards AI, Adobe announced in October its plans to allow users to control its video and image editing tools using simple chat commands. Additionally, the company revealed collaborations with OpenAI to integrate direct controls into its applications via ChatGPT.

As Adobe prepares to close this acquisition, the company aims to deepen its footprint in the marketing technology sector, potentially positioning itself against competitors who are also leveraging AI. The focus on creating a unified platform for marketers reflects the growing trend of integrating advanced technologies to meet evolving consumer demands.
