LOS ANGELES, Jan. 17, 2026 /PRNewswire/ — AZIO AI, a newly formed artificial intelligence infrastructure company, announced today that it has entered into a definitive agreement to acquire 100% of the AI division of Azio Corp. The agreement is subject to customary closing conditions, including audit, diligence, and final documentation.
This transaction formalizes the previously announced spin-out of AZIO AI from Azio Corp, transferring AI-focused operations, customer relationships, and related commercial activities into AZIO AI as an independent entity. Historically, Azio Corp has operated as a consumer and enterprise computer hardware and accessories business. Over the past year, the company expanded into AI-related infrastructure sourcing, backed by long-standing supply-chain relationships. Following the closing, all AI-related activities, including completed customer deliveries and signed purchase orders, will reside entirely within AZIO AI.
Under the agreement, AZIO AI has acquired the rights to purchase 100% of Azio Corp’s AI division. The transaction is pending customary due diligence and audit procedures. “This transaction is about moving a large division of Azio into the newly formed Azio AI and to keep focus,” said Chris Young, Chief Executive Officer of AZIO AI. He emphasized that consolidating all AI-related commercial activities into AZIO AI will help align their infrastructure strategy, customer relationships, and capital formation under a single, purpose-built platform. Young also noted that “The combination of both sets of customers from Azio Corp and AZIO AI will help build a greater revenue run rate for AZIO AI as we work towards finishing our material definitive agreement with Envirotech Vehicles (EVTV).”
AZIO AI aims to be a next-generation artificial intelligence infrastructure and high-performance computing platform, focusing on deploying scalable, power-efficient AI data centers and delivering mission-critical compute solutions for government, enterprise, and industrial applications. The transaction signals a strategic move for both companies, particularly as the demand for AI solutions continues to surge across various sectors.
This development comes at a time when the AI industry is experiencing unprecedented growth, with companies increasingly looking to enhance their computing capabilities to keep pace with technological advancements. As organizations across different industries adopt AI-driven solutions, the consolidation of specialized divisions within dedicated companies like AZIO AI is becoming more common.
The transaction also highlights the ongoing trend of technology firms spinning off specialized divisions to focus on core business areas. This strategic maneuver is expected to provide AZIO AI with the agility to innovate and respond to market demands effectively. As AZIO AI prepares for the closing of this transaction, it positions itself to capitalize on the increasing investments in AI infrastructure and services.
In summary, the acquisition of Azio Corp’s AI division by AZIO AI not only marks a significant milestone for both entities but also reflects the broader trends in the technology sector towards specialization and focused growth strategies. As AZIO AI moves forward, it will likely play a pivotal role in shaping the future landscape of AI infrastructure.
